1. Eligibility and Account Registration
1.1. To participate in our online auctions, you must be at least 18 years of age and legally able to enter into binding contracts.

2. Bidder’s Legal Responsibility
2.1. All bids placed on our online platform are legally binding offers to purchase. By placing a bid, you acknowledge and agree that, if you are the highest bidder at the close of the auction, you are entering into a legally binding agreement to purchase the property at the winning bid amount plus buyer's premium if applicable.
2.2. You may not retract, cancel, or modify a bid once it has been placed, except under circumstances expressly permitted by Hodges Auction Company, Inc. Any attempt to do so may result in the suspension of your account and legal action if warranted.
3. Property Information and Due Diligence
3.1. All properties are sold “as-is,” with no warranties, express or implied, as to the condition, marketability, or suitability for any particular purpose.
3.2. It is the bidder’s responsibility to conduct any necessary due diligence, including but not limited to property inspections, title research, and verification of property details, prior to placing a bid. By bidding, you acknowledge that you have reviewed all available information and performed any inspections or research you deem necessary.
3.3. Hodges Auction Company, Inc. makes no guarantees as to the accuracy or completeness of property information provided on the platform and shall not be liable for any discrepancies or inaccuracies.
4. Winning Bids and Purchase Agreements
4.1. If you are the highest bidder at the close of an auction, you will receive notification of your winning bid and instructions for executing a formal purchase agreement. By placing the winning bid, you agree to sign the purchase agreement and fulfill all obligations outlined therein.
4.2. Failure to sign the purchase agreement or make the required earnest money deposit within the specified timeframe may result in forfeiture of the winning bid and may subject you to additional penalties, including legal action to enforce the purchase agreement.
4.3. Hodges Auction Company, Inc. reserves the right to cancel a winning bid in the event of extraordinary circumstances, such as legal restrictions on the sale or seller withdrawal, and will promptly notify the winning bidder in such cases.
5. Payment Terms
5.1. A deposit or earnest money may be required at the close of the auction, with full payment due per the terms of the purchase agreement. All payments must be made in U.S. dollars and in a form acceptable to Hodges Auction Company, Inc.
5.2. Bidders are responsible for all applicable fees, including but not limited to taxes, transfer fees, and other transaction-related costs, as outlined in the purchase agreement.
6. Auction Platform and Technical Issues
6.1. Hodges Auction Company, Inc. provides its online bidding platform on an “as-is” basis and does not guarantee uninterrupted access or error-free functionality. We are not liable for any delays, errors, or interruptions in service, including technical issues on the part of the bidder or third-party services.
6.2. In the event of a platform failure or technical malfunction that affects bidding, Hodges Auction Company, Inc. reserves the right to extend, postpone, or cancel the auction at its discretion. Any such decision will be communicated to registered bidders as promptly as possible.
7. Termination of Bidding Privileges
7.1. Hodges Auction Company, Inc. reserves the right to suspend or terminate a bidder’s account and access to the bidding platform for any violation of these terms, including but not limited to failure to complete a purchase agreement, attempt to retract a winning bid, or any actions that undermine the fairness of the auction process.
7.2. Any bidder whose privileges have been terminated may be permanently banned from future participation in auctions hosted by Hodges Auction Company, Inc.
8. Governing Law and Dispute Resolution
8.1. These terms and conditions are governed by the laws of the State of Kentucky. Any disputes arising out of or in connection with the use of this online bidding platform shall be resolved under Kentucky law.
8.2. In the event of a dispute, the parties agree to first attempt resolution through mediation. If mediation fails, disputes may be resolved in a court of competent jurisdiction in the State of Kentucky.
9. Changes to Terms of Service
Hodges Auction Company, Inc. reserves the right to modify these Terms of Service at any time. Any updates to these terms will be posted on our website, and continued use of the platform constitutes acceptance of the revised terms.
